Introduction
This F.I.G.S. Recipient Attestation ("Attestation") is completed by an authorized representative of the applying organization in connection with the recipient-organization application on the Xerish platform. The Xerish platform is operated by Xerish SPC, a Washington State Social Purpose Corporation. Donor contributions are held by Xerish Storehouse, a Washington State Nonprofit Corporation operating as a 501(c)(3) Donor-Advised Fund Sponsor. By submitting an application and checking the attestation box, the authorized representative certifies the following on behalf of the organization to Xerish Storehouse, under penalty of perjury. This electronic attestation constitutes the legal equivalent of a handwritten signature.
Article I — Counterparty Framework
- The Organization understands that donor contributions on the Xerish platform are made to Xerish Storehouse, the 501(c)(3) Donor-Advised Fund Sponsor. Donors are advisors on donor-advised accounts held by Xerish Storehouse; their giving directions are advisory grant recommendations, not direct payments to the Organization.
- The Organization understands that, upon admission to the platform, it will enter a separate Recipient Grant Agreement with Xerish Storehouse. The Recipient Grant Agreement, not this Attestation, governs the ongoing grant relationship between the Organization and Xerish Storehouse.
- The Organization understands that this Attestation is reviewed and accepted by Xerish Storehouse and its delegated review team for purposes of placement on the Pre-Approved Recipient List under Xerish Storehouse's blanket-approval framework.
- The Organization understands that Xerish SPC operates the platform technology under a Services Agreement with Xerish Storehouse, and that Xerish SPC is not a party to the grant relationship between the Organization and Xerish Storehouse.
Article II — Legal Authority to Receive Charitable Grants
- The Organization is a legally recognized entity duly organized under the laws of its state of formation and in good standing with all applicable regulatory authorities.
- The Organization is authorized to receive charitable grants in all jurisdictions where it operates, or will obtain all required registrations and licenses before receiving grants in any such jurisdiction.
- The Organization acknowledges that neither Xerish SPC nor Xerish Storehouse registers as a charitable solicitation platform on the Organization's behalf, and that compliance with all charitable solicitation, registration, and reporting laws applicable to the Organization is the Organization's sole responsibility.
- The Organization will immediately notify Xerish Storehouse in writing if its authorization to receive or solicit charitable contributions is suspended, revoked, or challenged in any jurisdiction.
Article III — Tax-Exempt Status
- The Organization is either: (a) recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code, and grants from a U.S. public charity to the Organization are permissible charitable distributions to the extent provided by law; or (b) a religious organization that qualifies under Section 501(c)(3) without formal IRS recognition pursuant to applicable law.
- The Organization's tax-exempt status is currently in good standing and has not been revoked, suspended, or subjected to pending adverse action by the IRS or any state tax authority.
- The Organization will notify Xerish Storehouse immediately in writing if its tax-exempt status is revoked, suspended, or materially threatened.
- The Organization will comply with all IRS requirements applicable to 501(c)(3) recipient organizations, including maintaining adequate records, filing required returns, and providing written acknowledgments to Xerish Storehouse for grants received as required by law or by the Recipient Grant Agreement.
Article IV — Charitable Use Certification
- One hundred percent (100%) of grants received from Xerish Storehouse will be used exclusively for the charitable purposes described in the Organization's platform profile, campaign descriptions, and posts, and will be applied in a manner consistent with the Organization's 501(c)(3) status.
- No portion of grants received from Xerish Storehouse will be used for: (a) private inurement to any individual; (b) excessive compensation to officers, directors, or employees; (c) political campaign contributions or substantial lobbying inconsistent with 501(c)(3) status; (d) any purpose that would jeopardize tax-exempt status; or (e) any purpose that would provide more-than-incidental benefit to a Xerish Storehouse donor or related party within the meaning of Internal Revenue Code §§4966 and 4967.
- Impact metrics and program descriptions published on the platform reflect the Organization's genuine, good-faith estimate of social outcomes generated by grant funds, and the Organization maintains documentation supporting such claims.
- All campaign-specific grant use will be reported to Xerish Storehouse within 180 days of a campaign's closing through a completion post or written update describing how funds were applied.
Article V — F.I.G.S. Alignment
The Organization affirms its alignment with the F.I.G.S. standard adopted by Xerish Storehouse — Faith, Integrity, Generosity, Stewardship — as the gateway assessment for the Pre-Approved Recipient List. The Organization understands that F.I.G.S. is a binary assessment: organizations either align with the standard and are admitted to the Recipient List, or they are not admitted. There is no numeric F.I.G.S. score. The Organization affirms continued alignment with F.I.G.S. as a condition of remaining on the Pre-Approved Recipient List.
Article VI — No Misrepresentation
- All information submitted in the recipient-organization application — including the Organization's legal name, EIN, address, contact information, mission description, F.I.G.S. statements, and supporting documentation — is accurate, current, and complete as of the date of submission.
- The Organization will promptly update its platform profile and notify Xerish Storehouse if any attested information changes materially.
- The Organization has not been the subject of any government investigation, enforcement action, or legal proceeding relating to charitable solicitation fraud, misuse of charitable funds, or tax fraud in the past five (5) years, or has disclosed any such matters to Xerish Storehouse in writing.
Article VII — Acknowledgment of Consequences
- Any material misrepresentation in this Attestation or in the Organization's use of the platform constitutes a material breach of the Recipient Grant Agreement and may result in immediate removal from the Pre-Approved Recipient List and termination of the Organization's platform account.
- Xerish Storehouse reserves the right to refer evidence of fraud, misuse of charitable grants, or other illegal activity to appropriate law enforcement and regulatory authorities.
- Xerish Storehouse may share information about the Organization's removal from the Pre-Approved Recipient List with other platform participants and with relevant regulatory authorities where required by law or in the public interest.
- The authorized representative signing this Attestation has read and understood all provisions herein and has legal authority to bind the Organization.
Article VIII — Binding Effect
By submitting a recipient-organization application on the Xerish platform and checking the attestation box, the authorized representative certifies to Xerish Storehouse, under penalty of perjury, that the foregoing statements are true and correct to the best of their knowledge and belief. This electronic attestation constitutes the legal equivalent of a handwritten signature and is binding upon the Organization and its successors. This Attestation is incorporated by reference into the Recipient Grant Agreement entered into between the Organization and Xerish Storehouse.
